The company is committed to free and open competition in the marketplace and to strict adherence by all its personnel and those acting on its behalf to the antitrust laws of the United States when conducting business in the USA, the competition laws of the European Union (“EU”) when conducting business anywhere in the EU, and the competition laws of any other country or group of countries where the company is conducting business in any of those countries or groups of countries (“the Competition Laws”).

The Competition Laws can be complex and difficult to interpret. They also have application to a very broad range of the company’s activities. Acts undertaken in one country may have anticompetitive effects outside that country, if they are found to be contrary to the applicable laws in another country. Failure to comply with these laws may have significant consequences including possible criminal prosecution, government investigation, heavy fines, imprisonment and civil liability. These consequences may affect not only the company but also employees and agents. Failure to comply with the Competition Laws, and failure by supervisors to ensure compliance by subordinate personnel will result in disciplinary action up to and including dismissal.

Agreements between competitors (even if informal or only verbal) on any of the points listed below constitute some of the most serious types of Competition Law violations, which in some countries such as the US and the UK can result in imprisonment of individual violators and enormous fines for companies. (This list is not intended to be exhaustive.) All proposals for agreements with competitors should be cleared in advance with the company’s Legal Department. Thus, no employee or other agent acting for the companz should discuss any of the following with a competitor except with the involvement of the company’s Legal Department pursuant to legally permissible initiatives, even if there are no Competition Laws in the countries where the business is being conducted or the Competition Laws do not require adherence to these rules in such countries:.
